Hi and Welcome!
We’ve drafted these Terms of Service (which we, in this text, call the “Terms”) so you’ll know the rules that govern our relationship with you. Although we have tried our best to strip the legalese from the Terms, there are places where these Terms may still read like a traditional contract. There’s a good reason for that: These Terms do indeed form a legally binding contract between you and Visionect d.o.o. So please read them carefully.
By using Joan Services, or any of our other services as well as other software, user interface, applications or services that link to these Terms (we refer to these cumulatively simply as the “Services” or the “Licensed Services”), you agree to these Terms. Of course, if you don’t agree with them, then don’t use the Services.
The Services are provided to you, the user of the Services, by Visionect d.o.o. (“Visionect”, “We”, “Us”, “Licensor” etc.), with its main office at Tržaška cesta 118, 1000 Ljubljana, Slovenia, registered at the Slovenian Chamber of Commerce under 2333988000.
- Applicability
Please read the Terms of Service carefully. If you use our Services, you agree to these Terms of Service, and Privacy & Cookie Policy. Privacy, cookies, and illegal content are hot topics; they’re so important they had to go into other documents.
If the Services include services of third parties, the terms and conditions, notice and takedown policies, and/or privacy and cookie policies of their own may apply.
Visionect can amend these Terms of Service from time to time, so we recommend that you review them regularly and take note of any changes. The amended Terms of Service shall apply to you upon renewal of your subscription term.
Visionect can also from time to time amend these Terms of Service with immediate effect, in which case we will notify you and you can then contact us at [email protected] to end the subscription period before the change takes effect and receive a refund for any services you have paid for in advance but have not received. By continuing to use the Services, you accept any change made to the Terms of Service. Of course, if you don’t, don’t use the Services anymore.
These Terms of Service supersede any and all prior oral and written quotations, terms, communications, agreements, and understandings between you and Visionect. For avoidance of doubt, all Services, purchased before the adoption of these Terms of Service, shall remain, until the lapse of your current subscription term, as they were at the time of the purchase. Terms of Service, which were in effect at the time of the purchase, shall remain applicable to those Services.

- The Service

Each solution and each feature is provided in every subscription plan. Detailed information about the plans/tiers can be found here.
You can add users/devices up to the tier limit. Exceeding the limit moves you to the next tier.
All subscription plans are payable. The current options, features, and other specific characteristics including fees of each subscription plan can be found on our web page.
All the subscription plans are managed through MyJoan Portal, a dashboard that provides control over all aspect of your Joan system such as managing devices, users and room resources and controlling your subscription plan and billing information.
Each of the solutions has a free 30-day trial (see article 6.)
For the Services, Visionect offers annual and monthly subscriptions, based on number of devices and active users. The subscription fees for the respective subscription terms can be found on our web page.
- Who can purchase and use the Service?
Under these Terms, we only do business with legal entities.
By submitting your order for the service, you confirm that you:
- represent a legal person;
- are legally capable of entering into binding contracts and duly authorized to enter into binding contracts on your company’s or organization’s behalf;
- are not younger than 18 years old;
- if in the EU, are able to provide your VAT number, when applicable;
- are not a person or entity barred from receiving the Service under the laws of the United States or other applicable jurisdictions, including the country in which you reside or from where you use the Service; for example, that you do not appear on the U.S. Treasury Department’s list of Specially Designated Nationals or face any other similar prohibition;
- will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.
Since we need to know who we are working with, you also agree not to omit or misrepresent any data for the creation and further use of your account, and you agree to update such data to ensure that such data is current, complete, and accurate.
By accepting these Terms, you represent that you understand and agree to the foregoing.
- Requirements for use
- Devices. Use of the Service may require compatible devices (please see the technical requirements for non-Joan devices, here and here), stable internet access, and the related subscription plan; may require periodic updates, and may be affected by the performance of these factors. Visionect reserves the right to limit the number of Accounts that may be created, and the number of devices associated with an Account. The latest version of required software may be required for certain transactions or features. You agree that meeting these requirements is your responsibility.
- Your Account. To use the Service, you must create an Account. You are solely responsible for maintaining the confidentiality and security of your Account and all activities under it. Do not share your Account or password with anyone. Notify Visionect immediately of any security breach. Visionect is not responsible for losses resulting from unauthorized use of your Account if you do not follow these rules.
You must provide accurate and complete information when registering and using the Service, and keep it up to date. Failure to do so may result in suspension or termination of your Account. Visionect may use your registration data for account maintenance and billing.
- Limitations of Use. You agree to use the Service only for purposes permitted by this Agreement, and only to the extent permitted by any applicable law, regulation, or generally accepted practice in the applicable jurisdiction.
You expressly agree not to engage in any activity that:
- violates applicable laws or infringes the rights of others;
- involves harassment, threats, impersonation, or harm to individuals or entities;
- includes unauthorized or unlawful content, advertising, or communications;
- infringes intellectual property or discloses confidential information without authorization;
- introduces malicious code, disrupts service functionality, or misleads recipients;
- accesses or interferes with the Service or its networks without permission;
- involves resale, reproduction, or commercial exploitation of the Service;
- collects or stores personal data of other users for prohibited purposes.
If your use of the Service or other behavior intentionally or unintentionally threatens Visionect’s ability to provide the Service or other systems, Visionect shall be entitled to take all reasonable steps to protect the Service and Visionect’s systems, which may include suspension of your access to the Service and/or termination of your Account.
- Content. “Content” means any information you may encounter or generate through the Service (including files, text, images, audio, video, and similar materials). You are solely responsible for all Content you upload, share, or access through the Service, regardless of its source.
You understand that by using the Service you may encounter Content that you may find offensive, indecent, or objectionable and that you may expose others to Content that they may find objectionable. Visionect does not control the Content posted via the Service, nor does it guarantee the accuracy, integrity, or quality of such Content. You understand and agree that your use of the Service and any Content is solely at your own risk.

- Availability of the Service. The Service, or any feature or part thereof, may not be available in all languages or in all countries and Visionect makes no representation that the Service, or any feature or part thereof, is appropriate or available for use in any particular location. To the extent you choose to access and use the Service, you do so at your own initiative and are responsible for compliance with any applicable laws.
- End-user License
The Services made available to you are licensed, not sold, to you.
Scope of License: Licensor grants you a non-transferable, non-exclusive license (without the right to sub-license) to use the Licensed Service, within the scope of your Joan subscription plan, on devices you own or control, as permitted by these Terms and the Terms and Conditions for purchase of Joan products, during your subscription period. This license covers all content, materials, and upgrades provided by Licensor, unless accompanied by a separate EULA. You may not distribute, transfer, sublicense, copy, reverse-engineer, disassemble, modify, or create derivative works of the Licensed Service, or make it available for simultaneous use by multiple devices over a network.
- Free 30-day trial
To enable all our customers a full Joan services experience, we grant all our customers a 30-day free trial. At the end of the 30-day period, the subscription plan will, with prior notice, change to the payable account.
- Services Payment conditions
Your initial subscription term begins when you create an account and pay all required fees in full.
Depending on your chosen subscription term, fees for ongoing Services and any related charges will be billed per billing period, on the renewal date. Additional fees from your payment provider may apply.
You acknowledge that subscription charges may vary due to factors such as promotions, taxes, or exchange rates, and you authorize Visionect to charge these adjusted amounts. Visionect will notify you by email when your payment has been processed.
You can change your payment method in your account settings.
When creating your account please be mindful when choosing the currency for your payments as the currency is automatically chosen based on their location from which the MyJoan Portal account was created.
You are responsible for timely payment of all fees and for providing valid payment details. If payment fails (e.g., due to insufficient funds or expired card), Visionect may suspend or cancel your Services until payment is received. You must promptly update your payment information if it changes, which may temporarily disrupt access while verification occurs. Outstanding amounts remain your responsibility, and Visionect may retry payment.
If your Services are suspended or canceled for non-payment or breach of these Terms, you will lose access to all features and data. You may reactivate your subscription within four weeks by settling outstanding payments; access will resume from the date of reactivation.
- Term and Change of subscription plan
- Term. The subscription period will be renewed automatically for the selected subscription period, unless you have cancelled your subscription at least 30 days prior to the calendar day corresponding to the anniversary date (yearly) of your subscription.
- Subscription Transition. All subscription plans are purely quantity based. There is no feature/solution difference between plans. The bigger your company is (has more devices and/or users), the higher tier you will fall into. Exceeding the limits (devices and/or users) of your current plan will result in an upgrade to a higher-tier subscription.
- Subscription Deactivation. You can deactivate your subscription plan at any time by filling out this form. In this case, the subscription deactivation will take effect at the end of your paid subscription period and you will continue to have full access to the paid subscription Services until that period expires. You do not have any right to reimbursement of (part of) the subscription fee. After the end of your then-current paid subscription period, you will be able to choose any of the offered subscriptions at any time in your account settings by making a payment.
- Account Termination
- Voluntary Termination by You
You may delete your Joan account and/or stop using the Service at any time. To terminate and delete your Account, follow the steps here. If you terminate your Account, you will not have access to any Services with that account. This action is non-reversible. Any fees paid by you prior to your termination are non-refundable (except as expressly permitted otherwise by this Agreement), including any fees paid in advance for the billing year/month during which you terminate. Termination of your Account shall not relieve you of any obligation to pay any accrued fees or charges.
- Termination by Visionect
Visionect may, at its sole discretion and without prior notice, suspend or terminate your account or access to the Service if:
- you breach these Terms or any incorporated policy,
- you request closure of your account,
- required by law, court order, or governmental authority,
- providing the Service to you becomes unlawful,
- unexpected technical or security issues arise,
- you engage in fraudulent or illegal activities,
- or you fail to pay fees when due.
For non-material breaches, Visionect will provide 3 days’ prior notice before deactivation and 30 days’ prior notice before termination; if you remedy the breach within this period, termination will not take effect.
Visionect may also terminate your account with 30 days’ prior email notice if your account has been inactive for 12 months or if the Service is discontinued. In the event of discontinuation, you will receive a pro-rata refund of any prepaid, unused fees for your current paid term. Visionect is not liable for any loss resulting from lawful suspension or termination in accordance with this section.
- Effects of Termination
Upon termination of your Account, you may lose all access to the Service and any portions thereof. In addition, after a period of time, Visionect will delete information and data stored in or as a part of your account(s). Any individual components of the Service that you may have used subject to separate software license agreements will also be terminated in accordance with those license agreements.

- Links and Other Third-Party Materials
Certain Content, components, or features of the Service may include materials from third parties and/or hyperlinks to other websites, resources, or Content. As Visionect may have no control over such third party sites and/or materials, you acknowledge and agree that Visionect is not responsible for the availability of such sites or resources, and does not endorse or warrant the accuracy of any such sites or resources, and shall in no way be liable or responsible for any Content, advertising, products or materials on or available from such sites or resources. You further acknowledge and agree that Visionect shall not be responsible or liable in any way for any damages you incur or allege to have incurred, either directly or indirectly, as a result of your use and/or reliance upon any such Content, advertising, products or materials on or available from such sites or resources.
- Proprietary Rights
You acknowledge that Visionect and its licensors own all rights, title, and interest in the Service and its Software, including all intellectual property rights. The Service contains proprietary and confidential information protected by law. You may use such materials only as permitted by this Agreement and may not reproduce any part of the Service except as expressly allowed herein.
- Disclaimer of warranties; Limitation of liability
- Disclaimer of warranties
Visionect will use reasonable skill and care in providing the Service. Except as required by applicable law, the Service is provided “as is” and “as available,” without any express or implied warranties—including, but not limited to, warranties of merchantability, fitness for a particular purpose, or non-infringement. Visionect does not guarantee that the Service will be uninterrupted, error-free, secure, or that defects will be corrected. You use the Service at your own risk, including any material downloaded or obtained through the Service.
Visionect is not liable for any loss, corruption, attack, virus, hacking, or other security intrusion, or for any damages resulting from such events. The Service is not intended for use in safety-critical environments. As a business user, you acknowledge that consumer protection laws do not apply.
Some jurisdictions do not allow the exclusion of certain warranties; in such cases, these exclusions apply only to the extent permitted by law.
- Limitation of liability
Visionect will use reasonable skill and care in providing the Service. Nothing in these Terms limits liability for gross negligence, willful misconduct, or fraud, or where such limitation is not permitted by law.
To the fullest extent allowed by law, Visionect and its affiliates are not liable for any direct, indirect, incidental, special, consequential, or exemplary damages—including loss of profits, data, or goodwill—arising from your use or inability to use the Service, changes to the Service, unauthorized access, or any third-party conduct, even if Visionect has been advised of the possibility of such damages. The Service is not intended for use in life support or safety-critical systems. Any such use is at your own risk, and you agree to indemnify and hold Visionect harmless from any resulting damages or costs.
- Indemnification
You agree to defend, indemnify, and hold harmless Visionect and its affiliates from any third-party claims, damages, or expenses (including reasonable attorneys’ fees) arising from:
- your use of the Service,
- any content you submit or share,
- your violation of these Terms or any rights of others,
- or any actions Visionect takes in investigating or responding to suspected violations.
This obligation survives termination of your account or these Terms. You are responsible for all use of the Service through your account, whether authorized by you or not.
- General
- Notices
Visionect may provide you with notices regarding the Service, including changes to this Agreement, by email you provided in your account settings or by postings on our website and/or the Service.
- Entire Agreement
This Terms constitutes the entire agreement between you and Visionect, governs your use of the Service, and completely replaces any prior agreements between you and Visionect in relation to the Service. If any part of this Agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. The failure of Visionect to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. You agree that, except as otherwise expressly provided in this Agreement, there shall be no third-party beneficiaries to this agreement.
- Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with Slovenian law, with the exclusion of international conflict of law’s principles thereof and with the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). The parties agree in good faith to use reasonable efforts to resolve any and all conflicts and controversies between them relating to these Terms informally and amicably between themselves before submitting any such matter for judicial resolution. Each party irrevocably consents to the exclusive jurisdiction of the federal and state courts located in Slovenia for any disputes directly or indirectly arising out of these Terms.
- ELECTRONIC CONTRACTING
Your use of the Service includes the ability to enter into agreements and/or to make transactions electronically. YOU ACKNOWLEDGE THAT YOUR ELECTRONIC SUBMISSIONS CONSTITUTE YOUR AGREEMENT AND INTENT TO BE BOUND BY AND TO PAY FOR SUCH AGREEMENTS AND TRANSACTIONS. YOUR AGREEMENT AND INTENT TO BE BOUND BY ELECTRONIC SUBMISSIONS APPLIES TO ALL RECORDS RELATING TO ALL TRANSACTIONS YOU ENTER INTO ON THIS SERVICE, INCLUDING NOTICES OF CANCELLATION, POLICIES, CONTRACTS, AND APPLICATIONS. In order to access and retain your electronic records, you may be required to have certain hardware and software, which are your sole responsibility.
