Basically put, this section describes the whos and whats in the easy buying process. You just choose the products you want on the website, decide how many you’d like for your office, input your payment method , and voila, you have bought Joan, a great product that will make your life much easier and more organized. Oh, it also says you can’t use Joan products to do destructive things. Really.

What is Joan?
Meeting Room Assistant Joan is a digital door label and meeting scheduling solution developed by Visionect ltd (in the following Visionect), who owns all intellectual property rights within and regulates the shopping process for your convenience and safe use of Joan device (in following Service).
Who can buy Joan?
We can only sell Joan to legally organized and incorporated legal entities complying with the local law of the country of delivery. B2B (business-to-business) means a transaction in which the supplier and the customer are legal entities.
By placing an order on the Website, you confirm that you are:
- legally capable of entering into binding contracts,
- if in the EU, able to provide your VAT number, when applicable
Orders & Payment Terms
We have to receive your payment before we can accept your order. You can pay with a credit card, PayPal, or any other pre-arranged payment method. We can cancel your order if we deem it necessary.
Our price quotes are non-binding unless we let you know in writing. An order is valid and binding only after we confirm it in writing. Visionect is not responsible for any pricing, typographical, or other errors in our communications. We may process payment and ship parts of an order separately.
Basic Order Terms: All orders must include the following information: (i) which and how many Joan devices you would like, (ii) prices, and (iii) delivery instructions, (collectively, these are the “Basic Order Terms”).
We can cancel or indefinitely suspend an accepted order, and refuse additional orders if: (i) you don’t do what you’re supposed to do according to these Terms, (ii) you stop doing business or enter into any bankruptcy, insolvency, receivership or like proceeding that lasts more than 30 days, or assign your assets for the benefit of creditors, or (iii) if third-party financing in connection with your Joan devices purchase(s) aren’t fast enough for us.
You may cancel your order until it has been shipped.
Returns Policy, Your Right to Cancel and Refunds Policy
Before sending anything to Visionect, please contact our Joan Team at [email protected]. We can usually solve the problem quickly via email. If not, and you are considered under warranty, you will receive an authorization number.
Pricing, Terms of Payment, Taxes
You can pay using Mastercard, Visa, PayPal, or another option defined by Visionect. Your order is considered accepted when your card is debited or when Visionect receives payment of invoice.
You are liable for any costs incurred by us if you change or cancel any order, and for all costs of collection of past due amounts (including attorneys’ fees).
Our stated prices for Joan devices do not include applicable sales taxes, export or import charges, transportation or insurance charges, customs and duty fees, personal property taxes or similar charges – all of which are your responsibility to pay. You have to pay us all taxes and governmental fees we are required to collect or pay upon sale or delivery of the Joan devices unless you provide us with direct payment authority or an exemption certificate valid in the jurisdiction the Joan device(s) will be delivered.
Shipping, Delivery, Title
When Visionect accepts your order in writing, we will also contact you with an estimated delivery time. We try hard to meet your requested delivery dates, unless you are in default under these Terms, or our performance is otherwise excused. We are not liable for late or delayed delivery. Late delivery is not a basis for cancellation of any order. Shipping and delivery dates are estimates only. The time it takes to receive your order depends on the shipping method you choose during checkout, and the time of day you place your order.
When you receive Joan device(s) you own it, as well as the risk of loss or damage. We have the right to make partial deliveries.
Visionect can deliver the Software may be delivered via e-mail, if it so chooses. Visionect or its licensors still own the Title to the Software. You accept the terms of the Software when it is activated or otherwise made available for your access or use, whichever date is earlier.
You are responsible for letting us know in writing of any identified damage or nonconformance of Joan device within 8 days of receiving Joan device. Read more about Returns and Warranty here.
Visionect is provided a limited license to your data for the sole and exclusive purpose of providing the Services, including a license to collect, process, store, generate, and display your data only to the extent necessary in the providing of the Services. Visionect shall: (a) keep and maintain your data in strict confidence, using such degree of care as is appropriate and consistent with its obligations as further described in these Terms and applicable law to avoid unauthorized access, use, disclosure, or loss; (b) use and disclose your data solely and exclusively for the purpose of providing the services, such use and disclosure being in accordance with these Terms and the applicable law; and, (c) not use, sell, rent, transfer, distribute, or otherwise disclose or make available your data for Visionect’s own purposes, or for the benefit of anyone other than you without your prior written consent.

Not For Resale or Export
Export Control: You may not use or otherwise export or re-export Joan devices or Software except as authorized by the laws of the country where they were obtained. In particular, but without limitation, Joan devices and Software may not be exported or re-exported in violation of export laws, including if applicable export, or re-export into any US-embargoed countries, or to anyone on the US Treasury Department’s list of Specially Designated Nationals, or the US Department of Commerce Denied Person’s List or Entity List. You represent that you are not located in any country or on any list where the provision of Joan devices or Software to you would violate applicable law. You also agree not to use or enable use of them for any purposes prohibited by applicable law or export or re-export any Joan or Software with knowledge that it will be used in the design, development, or use of chemical, biological, nuclear or ballistic weapons. Laws and regulations change frequently. It is your responsibility to know the law pertaining to export/import procedures in the country of destination of the Joan and Software. You shall defend, indemnify, and hold us harmless against any liability (including attorneys’ fees) arising out of your failure to comply with the terms of this paragraph.
Governing Law and Dispute Resolution
We use Dutch law as the basis for solving any problems involving Joan device transactions.
Any notice or other communication given by either party to the other regarding these Terms will be deemed given and served when personally delivered, delivered by reputable international courier requiring signature for receipt, or five (5) business days after mailing (postage prepaid), addressed to the party at its notice address. Either party may change its notice address by written notice to the other. Your notice address will be the address appearing on the accepted purchase order. Before sending anything to Visionect, please contact our Joan Team at [email protected]. Our friendly team will try to help you solve any Joan problems quickly and efficiently. If you return anything to Visionect without prior authorization, this will be considered an unauthorized return, and you will not receive credit for Joan device(s), and Visionect will not ship Joan device(s) back to you. So, make sure you contact us before sending us anything back. We may, in our sole discretion, arrange for fulfillment of our warranty obligations through a Visionect affiliate, authorized distributor, or an authorized warranty service center. Returns may be subject to shipping, handling, replacement and/or restocking fees.
If you cancel your order before we ship it, we will reimburse all payments received from you, including the costs of shipping and delivery.
If there have been some issues related to delivery, you are responsible for letting us know in writing of any identified damage or nonconformance of Joan device within 8 days of receiving Joan device.

Returns that don’t qualify for warranty coverage will be returned to customers. It is vital that you communicate with Joan Team at [email protected] before sending in your return.
Joan One-Year Limited Warranty
Joan device is guaranteed against manufacturing defects one (1) year from the original delivery date. Visionect sole obligation in the event of such defects during this period is replace the product with comparable device at Visionect’s sole discretion.
During the warranty period, Visionect will make the choice whether to replace, repair, correct, or issue credit for any Joan device or Software subject to the warranty which after we check it out, we determine is non-conforming.
Unless: (i) the limited warranty included with a Joan device; or (ii) the User Agreement accompanying any Software grants you different rights or disclaims all warranties, we warrant to you, and only to you, as applicable, that our Joan devices are designed and manufactured to conform to our specifications and will be free from defects in material and workmanship for a period of 1 year from the original delivery date.
In Which Cases Joan Warranty does not Apply
If the product has been installed and/or used in a manner that does not comply with user instructions, or has been fitted on unsuitable materials.
- Normal wear and tear
- If the product has been modified or repaired by personnel other than Visionect’s
- If the defect or damage has been caused by accident, lightning, or other electrical discharge, fresh or salt water immersion or spray (outside Joan specifications); or exposure to environmental conditions for which the Joan device is not intended.
This limited warranty also does not apply to, and we are not responsible for, defects or performance problems resulting from: (i) the combination or use of the Joan device with hardware or software, information, data, systems, interfaces, or devices not made, supplied or specified by us; (ii) operating the Joan device under any specification other than, or in addition to, our standard specifications for them; (iii) the unauthorized installation, modification, repair, or use of the Joan; (iv) damage caused by accident, lightning, or other electrical discharge, fresh or salt water immersion or spray (outside Joan specifications); or exposure to environmental conditions for which the Joan device is not intended; (v) normal wear and tear on consumable parts, or (vi) cosmetic damage and (vii) in contrary with this Terms. We do not warrant or guarantee the results obtained through the use of Joan device.
If any Joan device stops working during the warranty period for reasons covered by our limited warranty, and you notify us of such a failure during the warranty period, we will at our option replace a nonconforming Joan device with new, equivalent to new, or reconditioned parts for Joan device or, if don’t make financial sense in our determination, we will refund the Joan purchase price you paid (excluding separate costs of installation, if any) upon your return of the Joan device in accordance with our Joan device return procedures as referenced above. Any repaired or replaced Joan devices will be warranted for a period of 30 days or the remainder of the original warranty period, whichever is longer.
Determination of Warranty Applicability
We can refuse warranty services if the Joan device or Software date of purchase cannot be proven, if a claim is made outside the warranty period, or if a claim is excluded. Following our examination of your claim, we will notify you of your warranty status and the repair cost of any out-of-warranty Joan devices. At such time you must issue a valid purchase order to cover the cost of the non-warranted Joan device repair and return shipping, or authorize return shipment of the Joan device at your expense as-is.

(III) THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET DISTRIBUTOR REQUIREMENTS
(IV) THAT THE SOFTWARE WILL BE COMPATIBLE WITH ANY SOFTWARE OR HARDWARE, EXCEPT SOFTWARE AND FIRMWARE AUTHORISED BY VISIONECT
VISIONECT IS NOT RESPONSIBLE FOR ANY DAMAGES OR LOSS RESULTING FROM THE USE OR INABILITY TO USE THE SOFTWARE.
Basically put, this section talks about how it’s necessary to put Joan together, fit Joan, and install Joan in the right way. If you don’t, it can cause it to break or cause damage to you or your wall(s).
This section also talks about how though you own the unit, everything (software, electronics, etc.) inside is still owned by Visionect. It also talks about how it’s illegal to steal our smart product ideas, or reverse-engineer it to make your own Joan. Oh, and no one can use Joan to blow things up. Really.
It’s really important to assemble, fit, and install Joan devices correctly. Incorrect fitting and/or installation may result in personal injury or loss. Visionect is not liable if you don’t do it right. For safety reasons, no screws for attachment to walls are included, since every wall is different and their load-bearing capacity may vary. Getting help from a specialist or dealer may be necessary.
Only an authorized specialist may service the product.
Unauthorized opening and unprofessional repair operations may result in serious risks for the user (electrical shocks, fire hazards, and other electrical risks).
Do not use the product if the outer casing is damaged.
Do not use defective/damaged cables. A defective cable may result in electrical shocks or fire hazards.
Do not insert any foreign object into the product.
Caution! Lithium battery inside – risk of explosion.
The product may only be used in an indoor environment.

The Quality of Your Wi-Fi Connection
The quality of your network connectivity will critically influence all aspects of Joan’s performance. Joan is a thin client device, meaning that all of its operations take place online – which requires a stable connection with a server. If your Wi-Fi or internet connection is not stable and/or fast enough, this will affect Joan’s interaction speed, battery life, system stability and more. In extreme cases this might cause a failure of Joan to operate in the target environment. We are not responsible for the operation, availability, or failure of any network connectivity related infrastructure, which could critically impact the performance of Joan and any failure in function of Joan device due to network connectivity is excluded from warranty.
Using Joan devices and Software depends on the availability and coverage of wireless networks, telecommunications networks, satellite positioning systems, and the Internet, which involve facilities owned and operated by third parties. We are not responsible for the operation, availability, or failure of such third party systems or facilities.
Not Responsible for Lost Data
We are not responsible for any modification or damage to, or loss of any programs, data, or other information stored on any media or any part of any Joan device serviced by us, or stored or hosted by us in connection with a Software service we provide, or for the seeking of Software support. Any Joan device or Software sent to Visionect for support may be returned to you configured as originally provided to you by Visionect.
OUR ENTIRE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF, OR IN CONNECTION WITH, THESE TERMS IS LIMITED TO THE AMOUNTS YOU ACTUALLY PAID TO US UNDER THE TERMS. FURTHER, NEITHER WE NOR VISIONECT EMPLOYEES ARE LIABLE FOR ANY INCIDENTAL, CONSEQUENTIAL, PUNITIVE DAMAGES, OR OTHER DAMAGES, OR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF USE OF THE JOANS OR SOFTWARE, OR ANY ASSOCIATED EQUIPMENT, COSTS OF COVER, DOWNTIME AND USER TIME, OR FOR BREACH OF ANY EXPRESS OR IMPLIED WARRANTY OR CONDITIONS, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY RELATED TO THE JOANS OR THE SOFTWARE. EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAW, ANY IMPLIED WARRANTY OF SATISFACTORY QUALITY OR FITNESS FOR A PARTICULAR PURPOSE APPLYING TO THE JOANS OR SOFTWARE IS LIMITED IN DURATION TO THE DURATION OF THE WARRANTY SPECIFIED IN SECTION 7, ABOVE.
WE BOTH AGREE ABOUT THESE LIABILITY LIMITATIONS, THAT SOME COUNTRIES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL, CONSEQUENTIAL, OR SPECIFIED OTHER DAMAGES, OR ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY, OR MAY NOT FULLY APPLY TO YOU.
You agree that Visionect owns all right, title, and interest to all intellectual property and other proprietary rights to anything Joan-related. You shall take reasonable precautions to prevent unauthorized access and use of the Software and documentation by third parties. You can’t let any third party copy, decompile, disassemble, or otherwise reverse-engineer the Joan devices or Software, or attempt to do so. You are prohibited from, and shall prevent any third party from, removing, covering, or altering any of our patent, copyright, or trademark notices placed upon, embedded in, or displayed by the Joan devices or Software or their packaging and related materials. We reserve all rights in the Joan devices and Software not specifically granted to you under these Terms.
All Software is licensed or provided as a service and is not sold. All intellectual property rights in the Software and user documentation are owned by Visionect and are protected by law, including but not limited to copyright, trade secret, and trademark law, as well as other applicable laws and international treaty provisions.
You may not distribute, reproduce, reverse-engineer, decompile, disassemble, or create derivative works of Software except and only to the extent that the right to do so is mandated under applicable law. Nothing contained herein shall be construed, expressly or implicitly, as transferring any right, license, or title to you other than those explicitly granted under these terms and conditions. Unauthorized copying of the Software or failure to comply with the above restrictions can constitute a legal basis to claim damages.
Joan is a trademark, applied for registration, owned by Visionect, and represents a valuable asset. Any improper use of Joan devices or unauthorized use of trademark for commercial purpose, regardless of the channel and media, will be deemed as infringement and enforced.
Nothing in these Terms shall require a transfer of any intellectual property rights, which shall remain vested with Visionect.
